Annual reports, prepared and reminded

An annual report keeps the company on the state’s active list and updates the public record. We remind you and prepare the report for Wyoming and for the other states we form in, and the state’s own fee is extra.

A reminder before it is due

States do not all use the same month. We remind you when a report we handle is coming due, using the date that applies to that company. You still need to answer so we can file on time.

Prepared for you to review

We fill in the report from the information you confirm: company name, agent, address, and the other fields that state asks for. You should read it before it is submitted, because the facts are yours.

Wyoming is commonly $60

Wyoming’s annual report fee is commonly $60. That figure is the state’s charge, it can change, and it is not part of the $99 formation package. Confirm the current amount when your report is due.

Which reports we prepare

We prepare annual reports for Wyoming companies and for companies we form in the other states we handle, including Delaware, New Mexico, Florida, and Texas. The form is not the same everywhere. Wyoming uses a straightforward annual report. Florida uses its own report to keep the company active. Texas companies deal with the Comptroller’s franchise-tax filing, which for some businesses is a no-tax-due report rather than a tax payment. New Mexico has had no annual report for limited liability companies, and you should confirm that with the New Mexico Secretary of State because rules change.

We do not invent a report a state does not require, and we do not skip one it does. If you formed elsewhere and only want a report we did not originally file, ask us which states we can prepare. The reminder is only useful if we have a current email for you. A report we cannot confirm with you will not be guessed at and filed. Managers, addresses, and agents change, and a wrong report can create a public record you then have to amend.

State fees stay with the state

Every state sets its own fee. Those fees are extra. They are not included in the $99 formation package. For Wyoming, the annual report is commonly $60. Confirm the current amount on the Wyoming Secretary of State’s instructions before you rely on that number, since the state can revise it. Florida, Delaware, and Texas publish their own charges, and some of those charges depend on the entity or on tax figures we do not calculate. We tell you the state fee we are passing through before you pay it.

Missing a required report can bring a late fee, and a state can move to dissolve or void a company that stops filing. The exact result depends on that state’s rules and on how late the filing is. We are a filing service, not a law firm, and we will not predict the penalty in your case. Send us the notice if you received one, and we will help prepare the report the state is asking for when it is a state we cover. Keeping the registered agent current matters, because the state often mails the reminder to that address.

Questions

Is Wyoming’s annual report $60?

Commonly, yes. Sixty dollars is the figure people know for the Wyoming annual report, and it is a state fee, not our formation package. The state can change it. Check the current Wyoming Secretary of State fee or ask us to confirm the amount when your report is due. Our $99 package is for formation, plus the formation fee the state charges at the start.

Will you file if I do not reply to the reminder?

No. The report states facts about your company, and you need to confirm them. If we cannot reach you, we will not invent managers, addresses, or tax figures. Reply to the reminder, especially if something changed. If a deadline is close, say so. Whether a late fee applies depends on the state and on the date the state accepts the filing.
