Court of Chancery
Delaware’s Court of Chancery hears business disputes and publishes written decisions. Owners pick the state because that court and its record are familiar, not because a new filing predicts how a future case would end.
Business Services
People choose Delaware when they want a company formed under a body of business law that investors and lawyers already know, centered on the Court of Chancery. Wyoming Digital LLC prepares the Delaware certificate for $99 plus Delaware state fees, and the registered agent is included for the first year.
Delaware’s Court of Chancery hears business disputes and publishes written decisions. Owners pick the state because that court and its record are familiar, not because a new filing predicts how a future case would end.
Delaware has spent decades writing and revising its company statutes, and courts have applied them in many reported cases. If your lawyer or a buyer already works from Delaware forms, the filing matches that expectation.
Many small companies never need that court system. They compare Delaware’s ongoing state charges with Wyoming and stay in Wyoming when the lower cost of upkeep matters more than Delaware’s case law.
A Delaware limited liability company begins when the Delaware Division of Corporations accepts the certificate of formation. The certificate names the company and its registered agent in Delaware. It does not set your tax elections, open a bank account, or write the deal between owners. Those belong in an operating agreement and in later tax filings. We prepare the certificate and provide an operating agreement template. The template is a starting draft, not a judgment about your owners, investors, or debts.
The usual reason to file here is the law other people already use. The Court of Chancery is a business court, and its opinions are widely read. Delaware’s limited liability company statute is familiar to many corporate lawyers. That history helps when you expect outside investors, a buyer, or counsel who wants Delaware documents. It does not, by itself, tell you that Delaware is the right state for a small shop, a rental, or a company with a few owners who already agree.
The published package is $99 plus the fees Delaware charges. Registered agent service is included for the first year when you form with us. The agent address can be the address on the certificate, so your home does not have to be the registered office. We are a filing service, not a law firm. We will not tell you that a Delaware company will protect a particular asset or change a particular tax. Whether Delaware fits depends on where you operate, who owns the company, and what you plan to do with it.
If you will not use Delaware’s courts and you are not raising institutional capital, compare the yearly state cost before you file. Many owners in that position prefer Wyoming. A Delaware company that has an office, staff, or regular business in another state may still have to register there and follow that state’s tax and license rules. Forming in Delaware does not move the business out of the state where you actually work. When you want the Delaware filing, send us the company name and who should receive official mail.
No. If you have an office, employees, or regular customers in another state, that state may require its own registration, taxes, or licenses. The Delaware certificate does not cancel those rules. Whether they apply depends on your facts. A local accountant or that state’s filing office can confirm them.
Yes. Residence in Delaware is not required. You do need a registered agent with a Delaware address, and that service is included for the first year when you form with us. If you are unsure whether Delaware or Wyoming is the better filing, ask your lawyer or tax adviser before you choose. We will file the state you pick.
