Form a Florida LLC

A Florida limited liability company is the filing for people who actually operate in Florida and want the company on the Florida record. Wyoming Digital LLC prepares the articles for $99 plus Florida state fees, with a registered agent included for the first year.

For a Florida operation

Form here when the office, the work, or the regular customers are in Florida. A company filed only in another state does not take the place of Florida’s own rules if you are doing business there.

Annual report still applies

Florida requires an annual report to keep the company active. The fee and the due date are set by the state and can change. We can remind you and prepare the report. The state fee is separate from our package.

Local licenses are extra

Cities and counties in Florida often require their own business tax or license. Which office applies depends on where you work and what you sell. The articles do not satisfy those local rules.

When a Florida filing is the right one

If you live in Florida, hire there, or regularly sell there, Florida is usually the state that expects to see the company. The articles of organization are filed with the Florida Department of State, Division of Corporations. They create the limited liability company. They do not license a trade, register you for sales tax, or tell a county that you have opened. Those are separate steps, and which ones apply depends on the business you run.

Some people form in Wyoming and then work from Florida. That can leave a second obligation: Florida may require the out-of-state company to register before it does business in the state. Registration, the annual report, and local licenses can still apply. We are not a law firm and we will not decide for you whether your activity counts as doing business in Florida. If you already know you operate there, forming the Florida company is the direct filing.

What is included, and what Florida still expects

The published package is $99 plus Florida’s filing fee. You receive the articles, an operating agreement template, and a registered agent for the first year. The agent address can appear on the public filing instead of your home. The template is a starting draft for the owners. It is not advice about Florida tax, employment, or a regulated profession. If you need that advice, ask a Florida lawyer or accountant who can look at your facts.

After formation, plan on the annual report. Florida uses it to keep the company in good standing, and a missed report can lead to a late fee or administrative dissolution under Florida’s rules. We remind clients and prepare annual reports for Florida and the other states we form in. You should still confirm the current due date and fee on the Division of Corporations instructions. Separately, check the city and county where you operate for a local business tax receipt or license before you open.

Questions

I already have a Wyoming company. Do I still need Florida?

If you operate in Florida, Florida’s rules can still apply to an out-of-state company. That may mean a Florida registration, a registered agent in Florida, the annual report, and local licenses. Whether your activity triggers those duties depends on your facts. We can form the Florida limited liability company when that is the filing you want.

Does the $99 package pay the annual report and the city license?

No. The $99 package covers formation, plus Florida’s formation fee billed as the state charges it. The annual report fee is set by Florida and is extra. City and county licenses are charged by those offices. We will tell you which state fee we are passing through before you pay it.
