Forming a Wyoming LLC from outside the United States

A person who lives outside the United States can often form a Wyoming LLC. Tax in your country, tax in the United States, banking, and immigration are separate issues, and formation is not a promise of anonymity or of zero US tax.

Who can form the company

Wyoming does not require LLC members to be US citizens or Wyoming residents. A non-US person can often be the sole member or one of several members. The company still needs a Wyoming registered agent, and the articles are still filed with the Wyoming Secretary of State.

That filing creates the company on the state record. It does not decide your taxes, open a bank account, or change your right to enter the United States. Wyoming Digital LLC provides formation and registered-agent service. The package is $99 plus state filing fees. We are not a law firm and we are not a tax advisor.

Tax at home and tax in the United States

US tax can apply because of the kind of income, where the work is done, and who owns the company. Some foreign-owned US LLCs also have IRS information filings in a year when little or no US income tax is due. Your home country may tax the same activity, and it may classify the LLC differently than the IRS does.

Get tax advice in your country and in the United States before you rely on a structure. We do not promise that you will owe no US tax. A Wyoming filing address does not, by itself, move the tax result.

ITIN, banking, and immigration

An ITIN is a US tax processing number for a person who needs one and who is not eligible for a Social Security number. You apply for it with the IRS. It is not a visa, and it is not the company EIN. You might need an ITIN, an EIN, both, or neither, depending on the filings a tax advisor identifies.

US banks decide whether to open an account when an owner lives abroad. Many ask for extra identification and proof of address. We do not open the account and we do not guarantee approval. Forming an LLC also does not give you permission to live or work in the United States. Immigration status is its own legal process.

Privacy, stated plainly

Wyoming articles of organization do not list members. That practice is not anonymity. The registered agent is a public record, and the IRS and your bank collect owner information. Do not form the company expecting your name to be hidden from every authority.

Common questions

Do I need to visit Wyoming to form the LLC?

You do not need to live in Wyoming to file the articles. A bank or an immigration process may still ask you to appear somewhere. Those requests are separate from the state filing.

Can a non-resident be the only member?

Yes. A single member who lives outside the United States is a common pattern. The tax filings for that pattern belong with a US tax advisor and an advisor in your country.

Does the LLC give me a visa?

No. An LLC filing is not an immigration application and does not authorize you to live or work in the United States.
