Privacy reputation
Wyoming articles of organization do not list the members. The registered agent is public. Nevada and New Mexico are also chosen because their formation filings do not publish a member roster. A Delaware LLC certificate of formation omits members as well. Delaware is better known for its business courts and for corporations that expect outside investors.
A quieter state filing is limited privacy. Banks, the IRS, and your registered agent will still know who the owners are. None of these states makes an owner invisible in every record.
Annual cost
Fees change, so confirm every number on the current state schedule. Wyoming formation is commonly $100, and the Wyoming annual report is commonly $60. Nevada ongoing costs are generally higher because of a state business license and an annual list. A Delaware LLC pays an annual franchise tax above Wyoming's usual report fee, and it needs a Delaware registered agent.
New Mexico is often discussed because LLCs there are not generally required to file an annual report. Confirm that practice, and confirm the current formation fee, before you rely on a low yearly cost. If you have sales, property, or staff in New Mexico, local tax rules can still apply even when the Secretary of State fee is light.
Form in the state where you operate
A store, an office, employees, or regular job sites in one state are a reason to form there. You will deal with that state's licenses and taxes anyway. A Wyoming LLC can still own a business that operates somewhere else, but the extra state is not free.
For a local shop, clinic, or contractor, a home-state LLC is often simpler. Use Wyoming when the reason still makes sense after you add the cost of registering where the work happens. Wyoming Digital LLC files Wyoming formations for $99 plus state filing fees. We are not a law firm and we are not a tax advisor.
Operating elsewhere can mean a foreign registration
Doing business in a state can create a duty to register there as a foreign LLC, appoint an in-state agent, and pay that state's fees. States define doing business differently. A passive ownership interest is a different set of facts from a shop with employees. If you form in Wyoming and operate elsewhere, ask that state or ask counsel whether foreign registration applies.
You can end up maintaining Wyoming and the operating state together. Wyoming has no state income tax, but your home state and the state where you work can still tax the activity. Federal tax is separate. Budget for the registrations you will actually keep.
Common questions
Does a Wyoming LLC avoid tax in my home state?
No. Wyoming has no state income tax. The state where you live or operate can still tax you, and federal tax is a separate system. A formation state does not move your tax home by itself.
Is Delaware the right choice when investors are involved?
Investors in venture-backed corporations often expect a Delaware corporation. A small LLC with no outside investors rarely needs that court system. Match the state to the deal you have.
Why do people compare New Mexico with Wyoming?
Both have a privacy reputation, and New Mexico is known for a lighter annual report practice. Confirm current fees and ask whether your real activity belongs in the state where you operate.
