What a series LLC is
A series LLC is one limited liability company that can set up internal series. Each series can be tied to its own assets, and the operating agreement can give a series its own members or managers. People use the idea to separate rentals, equipment, or lines of business without a new state filing for every asset.
The main company is still the company on the state record. The series live in the operating agreement and the books. A chart that names the series does not, by itself, move a deed, a lease, or a bank account.
Wyoming allows series LLCs
Wyoming law allows a limited liability company to establish series of members, managers, transferable interests, or assets. For the structure to match the statute, the articles and the operating agreement need to permit series, and the assets and records of each series need to be kept apart. A template sentence is a weak divider if the same account pays every expense and the same contract names only the parent.
Read the current Wyoming statute before you adopt series language. The details of how a series is created, how notice is given, and how records are kept belong in the code and in documents a lawyer prepares for your facts.
Other states may see the series differently
Not every state recognizes a series the same way. Some states have their own series statutes. Others do not offer series LLCs at all. A court, a lender, or a title company outside Wyoming may treat the whole company as one person, or it may ask you to form a separately filed LLC before it will close a loan or insure a title.
If the property, the lease, or a likely lawsuit sits in another state, that state law can matter as much as the Wyoming filing.
Confirm the walls with counsel
Ask a lawyer who knows the states involved to review the operating agreement and the plan for title, borrowing, and contracts before you rely on an internal series to contain a debt or a lawsuit. That review is legal work. This page is general information.
Wyoming Digital LLC can file a Wyoming LLC. We are not a law firm and we are not a tax advisor. The formation package is $99 plus state filing fees. We do not decide how many series you need or whether a series structure will hold up for your assets.
Common questions
Is a series the same as a separate LLC?
A series is a compartment inside one LLC, created under the statute and the operating agreement. A separately filed LLC has its own articles. Banks, counties, and courts often care about that difference.
Will every state honor a Wyoming series wall?
Recognition is uneven. Some states have series statutes and some do not. Ask counsel before you depend on a series to isolate a lawsuit, a loan, or a property.
Can you tell me how many series to create?
No. We file formation paperwork. How you divide assets is a decision for you and your lawyer, based on the current statute and the states where you operate.
