Delaware Registered Agent

Every Delaware company must name a registered agent in Delaware to receive service of process and state mail. When you form with Wyoming Digital LLC, that first year is included in the $99 package plus Delaware state fees.

Required by Delaware

Delaware will not accept a company that leaves the agent line blank. The agent must have a Delaware address that can accept official delivery during the life of the company, not only on the day you form.

Process and state mail

We receive lawsuits and other process served on the company, and we receive mail from the Delaware Division of Corporations. We pass those items to you. We do not appear in the Court of Chancery for you.

First year when you form

Agent service is included for the first year when you form the Delaware entity with us. The published formation price stays $99 plus Delaware’s state fees. A later renewal, or agent service alone, is something you ask about.

The same job, in Delaware

The Delaware registered agent does the same work as a Wyoming agent, for a Delaware entity. Official papers and Division of Corporations mail go to that Delaware address. We receive them and forward them to the contact you give us. If you are served, read the documents promptly. Deadlines in a lawsuit are short, and they depend on the court and the kind of case. We are not a law firm and we will not tell you how to respond.

The agent address can be the address on the certificate, so your home does not have to appear as the registered office. That is the public-filing use of the service. It does not make ownership private. Banks, the IRS, and courts can still require names. Delaware’s Court of Chancery and its entity statutes are reasons people form in the state. The agent is simply the required recipient that keeps the company able to receive notice.

Formation price, and renewals you ask about

If we form the Delaware limited liability company or corporation, the package is $99 plus the fees Delaware charges, and registered agent service is included for the first year. We do not add a second published price for that first year. You still pay Delaware’s own formation fee, which the state sets and which we pass through. After the first year, the agent does not continue by default. Ask us about renewal and we will tell you the amount before you agree to it.

If you already have a Delaware company and only want the agent, that is a standalone service rather than the formation package. Contact us, tell us the entity name and file number, and we will explain the change of agent and what it costs before you commit. Do not assume it matches the $99 formation price. State fees for a change of agent, if Delaware charges one, are extra and are set by the state. Keep your email current so process does not wait here while a clock runs.

Questions

How much is the Delaware registered agent?

When you form with us, agent service is included for the first year. The formation package is $99 plus Delaware state fees. We do not publish a second price for that first year. If you need a later renewal, or agent service for a company we did not just form, ask us and we will quote that renewal before you pay.

Can the company stay in good standing without an agent?

No. Delaware requires a registered agent for a Delaware entity. If the agent resigns and you do not appoint a new one, the state can move toward voiding the company under its rules. The exact timing depends on Delaware’s current process. Keep an agent in place, and tell us promptly if your contact details change.
